Terms of Service

This agreement is between you and OMG Systems, operating OwnIt Intel Studio. Accepting it covers these Terms and both Schedules below: Schedule A, Acceptable Use and Anti-Spam and Schedule B, Privacy and Data Processing. Please read all three.

1. What Studio is

Studio lets you send our real estate market reports to your own contacts under your own brand. We generate the reports from MLS, Bank of Canada, Statistics Canada and other data sources; you choose who receives them and when. We deliver those emails through our sending infrastructure on your behalf.

"You" means the person or business that holds the account. If you are accepting on behalf of a brokerage or company, you confirm you are authorized to bind it.

2. You are the sender

This is the most important term in the agreement, and the rest of it depends on you understanding it.

Every email sent from your account is your email to people you have a relationship with. You are the sender of record under Canada's Anti-Spam Legislation (CASL). We are your service provider: we transmit what you send, and we do not choose your recipients.

You represent and warrant that you hold valid consent, express or implied under CASL, from every contact you import, and that you will stop emailing anyone who withdraws it. You are responsible for the accuracy of the sender identity and mailing address shown on your emails, and for keeping them current.

If you are a registered real estate professional, you are responsible for meeting your regulator's advertising rules. In Ontario, that generally means your emails must identify your brokerage's registered name. Use the company name field in your brand settings for that purpose where your regulator requires it.

3. Acceptable use

Schedule A sets out what you may and may not do with Studio. It forms part of this agreement, and breaking it is breaking these Terms.

4. Unsubscribes and suppression

Every email includes an unsubscribe link that works without a login. Unsubscribes take effect immediately and are enforced by the platform: an address that unsubscribes, hard bounces, or reports your email as spam is automatically excluded from your future sends.

You must not attempt to re-add, re-import, or otherwise work around a suppressed address. The suppression list is a compliance record, not a preference you can override.

5. Your contacts and their information

You keep ownership of your contact list. We process it only to provide the service, on your instructions, as described in Schedule B, which forms part of this agreement.

6. Reports and their content

Reports are produced from sources we consider reliable and are provided for information only. They are not an appraisal, and they are not financial, legal, tax or investment advice. We do not warrant that report figures are accurate, current or complete, and market data can be revised after publication.

Report content is not editable. Your branding wraps the report; it does not change the figures, the analysis, the data attributions, or the notice identifying OwnIt Intel as the source of the report content. You may not present the reports as your own original research or remove those attributions.

We grant you a non-exclusive, non-transferable licence to send the reports to your contacts through Studio for as long as your plan is active. We keep all other rights in the reports and in Studio itself.

7. Billing

The solo agent plan is $9.99 USD per month. Agency plans are priced separately and consist of a base subscription plus a per-active-agent fee, quoted before you activate. All prices are in US dollars and exclude any applicable taxes.

Payments are processed by Stripe. We never receive or store your full card number. Subscriptions renew automatically until cancelled. You can cancel at any time from Manage billing: sending stops at the end of the period you have paid for, and your account, brand and contacts are kept unless you ask us to delete them.

Fees already paid are non-refundable except where required by law. We may change pricing on 30 days' notice to the email on your account; if you do not accept the new price, cancel before it takes effect.

8. Suspension

We may suspend sending on your account immediately if your bounce or complaint rates indicate a list problem, if we receive credible spam reports, if we reasonably believe these Terms or Schedule A are being broken, or if required by a provider or regulator.

We will tell you why, and we will restore sending once the issue is resolved where that is possible. Suspending sending does not by itself delete your account, brand or contacts. Because our sending domain is shared across customers, protecting its reputation is a service-wide obligation and we will act quickly to do it.

9. Term, termination and what happens to your data

You can close your account at any time. We can terminate this agreement if you materially breach it, including any breach of Schedule A, or if you fail to pay.

On closure we stop sending immediately. Your contact list, brand assets and account details are deleted within 30 days, except records we retain to honour suppressions and to evidence compliance, as set out in Schedule B. You can export your contact list at any time before closure.

10. Your indemnity

You will defend, indemnify and hold harmless OMG Systems and its people from any claim, demand, penalty, loss or expense (including reasonable legal fees) arising from:

  • your contact list, including how you obtained it and the consent you attest to;
  • any email you send through Studio, and its content beyond the report we supply;
  • your conduct as sender of record, including any CASL complaint or investigation;
  • your representations about your identity, licensing or brokerage; and
  • your breach of this agreement, including Schedule A.

We will notify you of any such claim, let you control the defence of it, and cooperate reasonably at your expense. You may not settle a claim in a way that admits fault on our behalf or imposes an obligation on us without our written consent.

11. Warranties and liability

Studio is provided as-is and as-available. We do not warrant uninterrupted or error-free operation, or that any particular email will be delivered to an inbox: deliverability depends on receiving mail providers we do not control. To the maximum extent permitted by law, we disclaim all implied warranties.

To the maximum extent permitted by law, our total aggregate liability to you for all claims is limited to the amounts you paid us in the three months before the event giving rise to the claim. Neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or lost business, even if advised of the possibility.

Nothing in this agreement limits liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence. These limits do not apply to your obligations under section 10.

12. Changes to this agreement

We may update this agreement. Every version is numbered, and when we publish a new one you will be asked to accept it before your next send. Sending is blocked until you do. We keep a record of which version you accepted and when.

13. General

This agreement is governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, and the courts of Ontario have exclusive jurisdiction. You may not assign it without our consent; we may assign it to a successor to our business. If any part is unenforceable, the rest stands. Our failure to enforce a term is not a waiver of it. This agreement, with its Schedules, is the entire agreement between us about Studio.

Schedule A

Acceptable Use and Anti-Spam

A.1. Consent is the whole rule

You may only import and email contacts for whom you hold valid consent under CASL, whether express (they agreed to receive email from you) or implied (for example, an existing business relationship within the periods CASL allows).

Purchased, rented, scraped, harvested, traded or otherwise acquired lists are prohibited outright. So is emailing an address you obtained without the person knowing they were giving it to you for this purpose. There is no volume of business that makes this acceptable, and we will terminate accounts that do it.

A.2. What you record when you import

Each import requires you to attest that you have consent and to state where the contact came from, chosen from a fixed list (past client, signed up on my site, gave me their card, open house sign-in, referral who asked me to, or other with a note). We timestamp and keep that attestation.

That record is your evidence as much as ours. Attesting to consent you do not hold is a breach of this agreement and, separately, exposes you to CASL penalties as the sender.

A.3. Honesty about who you are

You must not:

  • misrepresent your identity, your brokerage, or your licensing or registration status;
  • use a sender name or reply address that misleads the recipient about who is writing;
  • misrepresent the subject matter of an email in its subject line;
  • alter, obscure or remove report figures, data attributions, or the notice identifying OwnIt Intel as the source of the report content;
  • present our reports as your own original research.

A.4. Suppression is absolute

Unsubscribes, hard bounces and spam complaints are enforced by the platform and cannot be overridden from your account. You must not attempt to re-add a suppressed address, import it under a variant spelling, or contact that person through Studio by any other route.

A.5. Use the service for what it is

You must not:

  • use Studio to send anything other than our market reports to your real estate contacts;
  • send unlawful, deceptive, harassing, hateful or infringing content;
  • attempt to access another customer's account, contacts or data, or to defeat the separation between accounts;
  • probe, scan, overload or reverse engineer the service, or evade its sending limits;
  • resell or sublicense access to Studio, or share your login.

A.6. Sending limits

Accounts have limits on how many emails they can send in a rolling 30-day period and how many campaigns they can send per calendar month. New accounts start at a lower limit that increases with a sending history. These limits protect a shared sending domain, and we may adjust them where a customer's sending pattern puts other customers at risk.

Schedule B

Privacy and Data Processing

B.1. Our role

For your contact list, you are the organization responsible for the personal information under PIPEDA and we are your service provider. We process that information only to provide Studio and only on your instructions, which for these purposes means the actions you take in the product.

For your own account information (your name, email, billing details and how you use Studio), we are the organization responsible, and our privacy policy applies.

B.2. What we hold for you

  • your contacts: email address, first and last name, and optionally a city of interest;
  • consent attestations: the source you selected, any note, and the timestamp;
  • delivery records: which report went to which address, when, whether it was accepted by the receiving server, and the provider's message identifier;
  • engagement events: whether an email was opened or a link clicked, when, and how many times. Our email provider records the IP address and browser user agent associated with those events, which can indicate approximate location;
  • suppression records: addresses that unsubscribed, bounced or complained, with the reason and date;
  • your brand assets: logo, headshot, colours, and the identity details on your emails.

B.3. What we do not do

We do not sell your contacts. We do not use them for our own marketing or add them to our consumer newsletter. We do not share them with other customers, and we do not use one customer's list to benefit another. Separation between accounts is enforced in the database itself, not only by application code.

B.4. Service providers we use

We use the following subprocessors, each processing only what it needs to do its job:

  • Supabase, database, authentication and file storage;
  • Resend, email delivery, which itself sends through Amazon Web Services;
  • Stripe, payment processing. Stripe receives your billing details directly; we never receive your full card number;
  • Anthropic, which generates report narrative text from market data. Your contact list is never sent to it.

Where your data lives. Your contact list, consent attestations and delivery records are stored in Canada, in our database provider's Canada Central region. However, sending an email necessarily involves our email provider, and payment and report text generation involve providers, that operate in the United States: your contacts' email addresses and names pass through and are processed by US infrastructure, where they are subject to US law including lawful access requests by US authorities. PIPEDA permits processing outside Canada provided it is disclosed, which is what this paragraph does. If you cannot accept that, do not use Studio.

We will give notice through the product before adding a subprocessor that has access to contact information.

B.5. Security

Access to the service requires authentication. Data is encrypted in transit, and at rest by our hosting provider. Account separation is enforced at the database layer. Unsubscribe links are cryptographically signed so they cannot be forged to remove addresses from someone else's list. Only personnel who need access to operate the service have it.

No system is perfectly secure. If we become aware of a breach affecting your data, we will notify you without undue delay and in any event within 72 hours of confirming it, with what we know at that point, and we will keep you updated. You are responsible for any notification you owe your own contacts.

B.6. Retention and deletion

We keep your contact list, brand assets and engagement history for as long as your account is open. On closure we delete them within 30 days.

We keep suppression records and consent attestations after closure. Suppression records exist so that a person who unsubscribed is not emailed again if the same list is later re-imported, and consent attestations are the evidence that an email was permitted. Both are compliance records, and deleting them on request would defeat their purpose.

You can export your contact list at any time. If one of your contacts asks you for access to, or correction or deletion of, their information, you can act on it in the product, and we will help if you need us to.

B.7. Agency accounts

In an agency account, each agent is the sender of record for their own sends and accepts this agreement individually. Contacts imported by an agent belong to that agent's member account within the agency.

Suppression applies across the whole agency account: if a person unsubscribes from one agent's email, no agent in that agency will email them again through Studio. A person who asked to stop hearing from a firm should not have to ask each of its agents separately.

When an agency offboards an agent, we stop that agent's sending, retain their contact list and records, and make an export available to the agency. Whether the departing agent is entitled to take that list with them is a matter between the agent and the agency under their own agreement. We follow the instructions of the agency account holder and do not decide ownership disputes between them.
